Annual company retainer

We cover the legal works in any stage of corporate practice. Starting from ensuring the legal preparation of the establishment of a company, and during the incorporation process until negotiating with other parties on behalf of the Company. We could also review the existing Company’s compliance towards applicable Indonesian laws, including but not limited to assisting the company’s general meetings of shareholders;  reviewing and/or re-drafting the Company’s rules and business contracts. We also provide legal consultation for Company's consideration in sealing the business deal. 

We regularly update the laws and regulations affecting Clients’ business for their industry. In this regard, we aim that our Client is fully addressed with all types of potential risks and all obligations following their duty. We assist Clients to map their risks and prevent even the smallest damage as a result of compliance with the laws and contracts. We also manage the execution towards any field dispute incurred during the process of business. Those all-legal actions were covered in this Annual Company Retainer.

We evaluate and review the existing contracts already made by your Company by advising any legal consequence of the implementation of the contract, including reviewing the contract made by other parties, which affects your business. This may include but is not limited to the company’s agreement, sales and purchase agreement, service agreement, supply agreement, joint venture agreement, employment agreement, debt and receivable agreement, rent or loan agreement, non-disclosure agreement or confidentiality agreement, non-competition agreement, construction agreement, drafting a memorandum of understanding, dispute resolution agreement, or any specific type of agreement to accommodate Clients’ business.

This stage is where protection and enforcement must be taken to respect the rights and obligations that arise from an agreement. We are more than prepared to draft summons and Legal Notice (Somasi) to the Client’s business counterpart should any breach arises against the agreement, or responding any claim submitted against our Client.

We fully protect our Client’s business, including the protection of any Intellectual Property Rights that the Client may possess. Intellectual Property Rights include trademark, patent, copyright, industrial design, layout designs of integrated circuits, communal intellectual property, geographical indication and trade secret. Our Annual Company Retainer covers the assistance in dealing with any Intellectual Property Rights issues, namely the screening, application, renewal, licensing and cooperation contracts.

We also support our Client in legal training and advancing the employees based on Client’s request. Our Lawyers are qualified in Indonesian laws and have international exposure to support the advancement of employees’ capacity in legal matters. We offer from contractual business arrangement training to the employment compliance standard or a more specialized request for legal training adjusting to the Client’s need.
